Legal and tax assistance with selling of real estate

We assist our clients to anticipate a future sale of a of French real estate or real estate company shares by  monitoring their future capital gains tax exposure  and legal status of the property. We assist our client during all the phases (both legal and tax) of the sale of French real estate or real estate company shares by :

·        advising our client to choose between the sale of the real estate asset, or the shares of the (intermediate or holding) company owning the real estate

·        reduce the global tax burden (reduce transactions costs, capital gains tax, wealth tax…)

·        identify tax opportunities &  tax risks

·        negotiate contractual clauses (preliminary and finals sales agreement, representations & warranties agreement, debt transfer agreement….)

·        coordination of the notary and (if applicable) the fiscal representative

·        coordination of the tax and legal audit in case of a share transfer transaction

·        assisting the client in negotiating the sales price of the real estate asset or real estate company shares
